Terms of Service

You must be at least 14 years of age to use our Services. If you have not reached the age of majority in your province or territory of residence, you represent that you have obtained any consent from a parent or legal guardian required by applicable law to use the Services. By accessing or using the Services, you represent that you meet the applicable eligibility requirements and are legally permitted to use the Services. Occasio serves students and learners at different stages of their education. Certain features, subscriptions, student pricing, opportunities, or other benefits may be available only to users who meet specific eligibility requirements. We may request information reasonably necessary to confirm eligibility and may restrict access where those requirements are not met.

Certain features of the Services require an Occasio account. You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account. If you believe your account has been accessed or used without authorization, you must notify us promptly at info@occasiotech.ca. You agree to provide accurate, complete, and current information when creating and maintaining your account. You may not create or operate an account on behalf of another person without their authorization. Occasio may suspend, restrict, or terminate an account where we reasonably believe these Terms have been violated, the account is being misused, or action is necessary to protect the Services, Occasio, our users, or third parties.

The Services are provided for your personal use in connection with discovering opportunities, managing academic information, tracking applications, using MyOccasio AI, and accessing other tools and features made available through Occasio. You may not use the Services for any unlawful, unauthorized, fraudulent, abusive, or harmful purpose. You agree not to: · access or attempt to access accounts, systems, data, or areas of the Services that you are not authorized to access · copy, reproduce, distribute, modify, or create derivative works from the Services except as expressly permitted by Occasio · reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying technology from the Services except where such restriction is prohibited by law · use bots, scrapers, automated tools, scripts, or similar technologies to access, monitor, copy, or extract information from the Services without our prior written authorization · transmit spam, malicious code, harmful content, or unauthorized communications through the Services · impersonate another person or entity or misrepresent your identity or affiliation · interfere with the security, integrity, availability, or operation of the Services · circumvent technical restrictions, access controls, usage limits, or security measures · use the Services in a manner that could damage, disable, overload, or materially impair the Services or their infrastructure · use information obtained through the Services in violation of applicable law or the rights of another person

You retain ownership of content and information you submit to the Services, including profile information, application information, notes, goals, and other materials you provide. By submitting content to the Services, you grant Occasio a limited, non-exclusive, royalty-free licence to host, store, process, reproduce, and display that content solely as reasonably necessary to operate, provide, secure, and improve the Services. You are responsible for the information and content you provide and for ensuring that you have the right to provide it. You must not submit content that: · is unlawful, fraudulent, false, or materially misleading · infringes intellectual property, privacy, confidentiality, or other rights of another person · contains malicious code or content intended to interfere with the Services · is defamatory, abusive, or otherwise prohibited by applicable law Occasio does not independently verify the accuracy or completeness of information submitted by users.

Except for content submitted by users, the Services and all associated software, technology, interfaces, designs, graphics, text, databases, features, branding, and other materials are owned by or licensed to Occasio and are protected by applicable intellectual property laws. These Terms do not transfer ownership of any Occasio intellectual property to you. Subject to these Terms, Occasio grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services for their intended purposes. You may not sell, resell, license, sublicense, reproduce, distribute, or commercially exploit any part of the Services without our prior written authorization. The Occasio name, MyOccasio name, logos, trademarks, service marks, and related branding are owned by or licensed to Occasio Technologies Inc. and may not be used without our prior written authorization.

Certain features of the Services may require a paid subscription. Applicable pricing, billing frequency, subscription features, eligibility requirements, and other material purchase information will be presented before you complete a purchase. Unless otherwise stated, prices are displayed in Canadian dollars. By purchasing a recurring subscription, you authorize Occasio or its authorized payment processor to charge the applicable subscription fees to your selected payment method according to your chosen billing frequency. You are responsible for keeping your billing and payment information accurate and current. Unless otherwise disclosed at the time of purchase, recurring subscriptions automatically renew until cancelled. You may cancel a subscription through your account settings where available or through another cancellation method provided by Occasio. Cancellation takes effect at the end of the current paid billing period unless otherwise required by applicable law. Fees already paid are generally non-refundable for partially used billing periods, except where a refund is required by applicable law or expressly provided by Occasio. Occasio may modify subscription pricing, features, or eligibility requirements from time to time. Where required or reasonably appropriate, we will provide advance notice before a change applies to an existing recurring subscription.

Occasio helps users discover, organize, compare, and evaluate opportunities using information available from various sources. Opportunity information may include: · eligibility requirements · deadlines · funding amounts · application requirements · locations · descriptions · other terms or information provided by the opportunity provider Opportunity information may change after it appears on Occasio. While we work to provide useful and timely information, we do not guarantee that every opportunity listing will always be complete, current, available, or error-free. You are responsible for confirming important opportunity information with the official opportunity provider before submitting an application, incurring costs, or making a material decision. MyOccasio match percentages, rankings, explanations, and recommendations are intended to support discovery and decision-making. They do not constitute a determination or guarantee that you: · satisfy all eligibility requirements · will receive an opportunity · will be selected · will receive funding · will obtain employment, admission, or any other outcome Final eligibility requirements and decisions remain with the applicable opportunity provider.

MyOccasio AI provides informational and educational guidance designed to support your use of the Services. It may assist with: · understanding opportunities · evaluating potential fit · comparing opportunities · identifying areas you may wish to strengthen · navigating applications · academic planning · goals and other student-related questions AI-generated content is produced using available information and automated systems and may contain errors, omissions, outdated information, or inappropriate conclusions. You should review AI-generated content carefully and independently verify important information with appropriate official sources. MyOccasio AI does not guarantee any outcome and does not make scholarship, employment, admissions, funding, academic, government, or other third-party decisions on your behalf. MyOccasio AI is not a substitute for professional legal, medical, financial, accounting, immigration, or other regulated professional advice. To the extent permitted by applicable law, Occasio is not responsible for decisions or actions taken solely in reliance on AI-generated content.

The Services may contain links to, information from, or integrations with third-party websites, applications, employers, educational institutions, scholarship providers, governments, organizations, or other services. These third-party services operate independently from Occasio. Occasio does not control and is not responsible for: · the availability of third-party services · content provided by third parties · privacy or security practices of third parties · accuracy of information provided by third parties · terms, policies, products, services, or decisions of third parties Your use of a third-party service is subject to that third party’s own terms, policies, and practices.

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. Occasio does not make warranties or representations, express or implied, regarding the Services except where expressly stated or required by law. Without limiting the foregoing, we do not guarantee that: · the Services will always be available or uninterrupted · the Services will be completely error-free · all defects will be corrected · all information available through the Services will always be accurate, complete, or current · every opportunity will remain available · any particular result or outcome will be achieved To the maximum extent permitted by applicable law, implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, are excluded. Nothing in these Terms excludes any warranty, right, or protection that cannot lawfully be excluded.

Occasio is committed to providing reliable, accurate, and accessible Services. However, some circumstances may be outside our reasonable control, and we cannot guarantee that the Services will always operate without interruption, error, or delay. To the maximum extent permitted by applicable law, Occasio and its directors, officers, employees, contractors, agents, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Services. This includes, where permitted by law, any loss of: · profits · revenue · data · business opportunities · educational opportunities · expected savings · goodwill To the maximum extent permitted by applicable law, Occasio’s total liability arising from or relating to the Services or these Terms will not exceed the greater of: · the amount you paid directly to Occasio during the 12 months immediately preceding the event giving rise to the claim, or · $100 CAD These limitations apply only to the extent permitted by applicable law. Nothing in these Terms excludes or limits any liability, right, or legal protection that cannot lawfully be excluded or limited.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Occasio Technologies Inc. and its directors, officers, employees, contractors, agents, and service providers from claims, liabilities, damages, losses, costs, and reasonable legal expenses arising from: · your material breach of these Terms · your unlawful or unauthorized use of the Services · content you submit through the Services that violates applicable law or infringes the rights of another person · your violation of applicable law · your infringement or violation of the rights of another person This section does not require you to indemnify Occasio for any matter arising solely from Occasio’s own conduct or where such indemnification would not be permitted by applicable law.

Occasio may suspend, restrict, or terminate your access to some or all of the Services where we reasonably determine that: · you have violated these Terms · your account has been used fraudulently or unlawfully · your activity creates a security or operational risk · your conduct may harm Occasio, another user, or a third party · suspension or termination is required by law · continued access could materially compromise the Services Where appropriate and legally permitted, we may provide notice before taking action. You may close your account at any time through available account controls or by contacting info@occasiotech.ca. Termination or account closure does not automatically entitle you to a refund of prepaid fees except where required by applicable law or expressly provided by Occasio. Certain provisions of these Terms that are intended by their nature to continue after termination will remain in effect.

Our collection, use, disclosure, retention, and protection of personal information in connection with the Services are described in the Occasio Privacy Policy. The Privacy Policy explains: · what personal information we collect · how we use it · when it may be shared · how we protect it · the choices and rights available to you You should review the Privacy Policy before using the Services. Where consent is required for the collection, use, or disclosure of personal information, Occasio will obtain that consent as required by applicable Canadian law.

Occasio is continuously developing and improving the Services. We may add, modify, replace, suspend, or discontinue features, functionality, products, or portions of the Services from time to time. Where reasonably practicable and appropriate, we will provide notice of material changes that significantly affect existing users. We may also update these Terms periodically. The Last Updated date identifies the most recent version. Where required by applicable law, we will provide notice of material changes and obtain additional agreement or consent where necessary. If you do not agree to updated Terms, you must stop using the Services.

These Terms are governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be subject to the jurisdiction of the courts of Ontario, subject to any mandatory rights or protections under applicable law that cannot be excluded or restricted by agreement. Before commencing formal legal proceedings, you agree to contact us at info@occasiotech.ca and provide a reasonable opportunity to attempt to resolve the matter informally, except where applicable law permits otherwise.

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a particular feature or Service, constitute the agreement between you and Occasio regarding your use of the Services. If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect. Occasio’s failure to exercise or enforce any right under these Terms does not constitute a waiver of that right. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Occasio may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or other legitimate business transaction, subject to applicable law. Section headings are included for convenience and do not affect the interpretation of these Terms.
